  • What is the FCOC (Franchising Code of Conduct)?

Franchising Code of Conduct – Key Points for Potential GymbaROO Franchisees
The Franchising Code of Conduct is a legally enforceable document that governs all franchise systems in Australia, including GymbaROO. It exists to protect both franchisors and franchisees and sets the minimum standard of behaviour required from both parties. Below is a plain-English summary for potential franchisees considering joining the GymbaROO network.

You must receive key documents in advance
Before signing anything or paying any money, GymbaROO must provide the following documents at least 14 days in advance: the Franchise Agreement, the Disclosure Document, and the ACCC’s Information Statement. These documents outline your rights, obligations, fees, risks and business model. You are encouraged to get legal and financial advice before proceeding.

    You have a 14-day cooling-off period
Once you’ve signed the Franchise Agreement, you have 14 calendar days to change your mind and exit the agreement. If you withdraw during this period, your money must be refunded (minus reasonable expenses already incurred).

Good faith is required at all times
Both parties must act in good faith during all stages of the franchise relationship — from negotiations to daily operations, disputes and termination. Acting in good faith means being honest, cooperative, and not misleading or unreasonable.

    Transparency around marketing funds
If you are required to contribute to a marketing or advertising fund, GymbaROO must only use that money for marketing-related activities. An annual financial statement must be provided to all contributing franchisees, outlining how funds have been spent.

Disputes must follow the correct process
If a dispute arises, both parties must attempt to resolve it directly first. If that fails, either party can trigger mediation. The Australian Small Business and Family Enterprise Ombudsman can also assist. Taking legal action should be a last resort.

There are rules around ending or transferring a franchise
The Code includes rules about transferring, renewing or exiting your franchise agreement. These terms are outlined in your agreement. Termination rights vary depending on circumstances, including serious breaches or agreement expiry.

This is not optional — the Code is legally binding
The Franchising Code is law. Breaches of the Code can lead to penalties and enforcement action by the ACCC. Compliance is non-negotiable.

Before you commit: take time to review all documents, ask questions, seek independent legal and financial advice, and ensure you fully understand the obligations and risks involved in buying a franchise. This summary does not replace the full Code. You can read the complete Franchising Code of Conduct at www.accc.gov.au
